1. Acceptance of Terms

By accessing or using the WavRift platform and associated services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will make reasonable efforts to notify you of material changes.

2. Account Registration

To use certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your password and account credentials.
• Accept responsibility for all activity that occurs under your account.
• Notify us immediately of any unauthorized use of your account.

You must be at least 13 years old to create an account. If you are under 18, you represent that you have your parent or guardian's consent.

3. Acceptable Use

You agree not to use the Service to:

• Upload, submit, or distribute content that infringes on intellectual property rights of others.
• Harass, abuse, threaten, or intimidate other users.
• Submit fraudulent payment information or engage in deceptive practices.
• Attempt to gain unauthorized access to other accounts, systems, or networks.
• Use bots, scrapers, or automated tools to access the Service without our written permission.
• Manipulate queues, ratings, or discovery rankings through artificial means.
• Distribute malware, spam, or other harmful content.
• Violate any applicable local, state, national, or international law.

We reserve the right to suspend or terminate accounts that violate these guidelines, with or without notice.

4. Content Ownership

You retain ownership of all content you upload, submit, or create on the Service, including music, reviews, ratings, and clips. By submitting content, you grant WavRift a non-exclusive, worldwide, royalty-free license to host, display, distribute, and reproduce your content solely for the purpose of operating and improving the Service.

Auto-generated clips include branding from both the reviewer and the artist. Both parties retain rights to share, download, and repost clips generated from their sessions.

WavRift does not claim ownership of your music. Submitting a track for review does not transfer any intellectual property rights.

5. Payment Terms

Subscription Plans

WavRift offers free and paid subscription tiers. Paid plans are billed monthly. Prices are listed in US dollars and may be subject to applicable taxes. You may upgrade, downgrade, or cancel your subscription at any time. Changes take effect immediately, and remaining balances are prorated.

Submission Payments

Reviewers may set submission fees for their Rift Rooms. Payment processing is handled by third-party providers (Stripe, CashApp, PayPal, Venmo, Zelle). WavRift facilitates these transactions but is not a party to the payment agreement between artist and reviewer.

Refunds

Subscription refunds are handled on a case-by-case basis. Submission payments are generally non-refundable once a review has been completed. Disputes should be directed to our support team.

6. Termination

You may delete your account at any time through your account settings. Upon deletion, your personal data will be removed in accordance with our Privacy Policy. Some data may be retained as required by law or for legitimate business purposes (e.g., fraud prevention, financial records).

We may suspend or terminate your access to the Service at our sole discretion if you violate these Terms or engage in conduct that we determine is harmful to other users or the platform.

7. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

WavRift does not guarantee that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, completeness, or reliability of any content on the platform, including reviews, ratings, and user-generated content.

8. Limitation of Liability

To the maximum extent permitted by applicable law, WavRift and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid to WavRift in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless WavRift and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
